Single-member llc - $1,250

  • One-hour consultation (remote or in-person)

  • Filing of Articles of Organization and appointment of statutory agent

  • Minute book including Operating Agreement

  • Form Non-Disclosure/Confidentiality Agreement for use with a variety of business relationships

  • EIN, DRS, and Labor Department filings and registration

Sole shareholder corporation – $1,750

  • One-hour consultation (remote or in-person)

  • Filing of Certificate of Incorporation and appointment of statutory agent

  • Minute book including Bylaws, initial board resolutions, and issuance of stock to founder

  • Form Non-Disclosure/Confidentiality Agreement for use with a variety of business relationships

  • EIN, DRS, and Labor Department filings and registration

Multiple member llc - $2,250

  • One-hour consultation (remote or in-person)

  • Filing of Articles of Organization and appointment of statutory agent

  • Minute book including Operating Agreement (right of first refusal, drag-along rights, confidentiality), initial member-managed or manager resolutions, and issuance of membership interests to founders

  • Restrictive Covenant Agreement for founders/employees (assignment of IP, confidentiality, non-solicit and non-compete)

  • Form Non-Disclosure/Confidentiality Agreement for use with a variety of business relationships

  • Incentive Equity Plan (grants of options and restricted member units for employees or directors, officers, and consultants) and related grant documents

Filing fees and other costs are not included in the flat fee. We will require a signed agreement and prepayment of legal fees prior to beginning any work.
